Returns, Refunds & Cancellation Policy

ARDENON™ — Hospitality & Commercial Supplies

Effective Date: 01 January 2023

1. General Terms

This policy applies to purchases and orders placed through b2b.ardenon.com and ardenon.com, operated by Ardenon's Saudi Arabian business entity (owned by Rayan Mohamed Alnefaie Trading Company).

All voluntary order cancellations, modifications, returns, and refunds are subject to prior written review and approval by Ardenon, except where a customer is entitled to cancellation, return, or refund under applicable Saudi Arabian law.

By placing an order, customers acknowledge the cancellation terms disclosed before concluding the transaction written on the company's page policies.

2. Order Confirmation and Cancellation

Once a purchase order or quotation is accepted and the order is contractually confirmed, Ardenon may immediately commence procurement, manufacturer coordination, product reservation, and logistical arrangements.

Cancellation requests must be submitted in writing and must reference the original order number.

For cancellations outside applicable statutory rights:

  • Cancellation requires Ardenon's written approval.

  • Requests may be declined where manufacturer or supplier commitments cannot be cancelled.

  • Customers remain responsible for legally recoverable costs arising from an approved cancellation.

  • An order is not considered cancelled until Ardenon provides written confirmation.

3. Cancellation Fees and Customer Responsibilities

Where legally permissible and properly agreed, customers requesting voluntary cancellation may be responsible for documented costs incurred by Ardenon, including:

  • Supplier and manufacturer cancellation charges.

  • Restocking fees and non-refundable procurement commitments.

  • Shipping, freight, and logistics expenses.

  • Customs and handling expenses already incurred.

  • Banking, international transfer, and intermediary bank charges.

  • Foreign exchange conversion losses attributable to cancellation.

  • Applicable engineering, configuration, and order-processing costs.

  • Other recoverable costs or losses directly resulting from cancellation.

Cancellation charges will be determined according to the order's circumstances, applicable contractual terms, supporting documentation, and Saudi Arabian law.

No arbitrary or legally prohibited deductions shall apply.

4. Special Orders, Imports and Customized Products

Products manufactured or customized according to customer specifications are generally excluded from the ordinary seven-day cancellation right under Article 13 of the Saudi E-Commerce Law, except in circumstances provided by law, including defects or nonconformity.

Imported products, project-specific equipment, special procurement orders, and products sourced under binding manufacturer commitments may be subject to additional contractual cancellation conditions.

A product's imported status alone does not remove mandatory statutory return rights.

Where a voluntary cancellation is requested for an order carrying non-cancellable supplier commitments, Ardenon may reject the request or propose a settlement covering legally recoverable costs.

5. Returns and Statutory Cancellation Rights

Subject to Article 13 of the Saudi E-Commerce Law and its applicable exceptions, eligible customers may rescind an electronic purchase contract within seven days following receipt of the product, provided the product has not been used or benefited from.

The applicable seven-day period for eligible services runs from the date of contracting.

The customer bears the legally applicable costs resulting from the exercise of this right unless otherwise agreed.

Returns requiring prior discretionary approval are separate from statutory returns, which Ardenon will honor in accordance with applicable law.

6. Refunds and Financial Settlement

Where a discretionary cancellation is approved, the refundable amount will be determined after accounting for lawful cancellation charges and other contractual obligations.

Ardenon will provide confirmation of the approved settlement and applicable deductions.

Refunds will be processed using an appropriate payment method, normally the original payment method where practicable.

Statutory refunds will be processed in accordance with applicable legal requirements and will not be subject to discretionary approval or unlawful deductions.

7. International Banking and Currency Conversion

Customers making payments through international bank transfers are responsible for ensuring that Ardenon receives the invoiced amount in the agreed settlement currency, subject to the payment terms disclosed and agreed.

International payments may involve sending banks, intermediary banks, receiving banks, and currency conversion charges.

For customer-requested voluntary cancellations, legally recoverable and properly agreed bank charges and foreign exchange losses may be included in the cancellation settlement.

The amount received or returned in a different currency may vary due to exchange rates and charges imposed by independent banking institutions.

Any refund legally required under Saudi law will take precedence over these contractual arrangements.

8. Defective or Incorrect Products

If a product is defective, damaged, or materially different from its agreed specifications, the customer may request the remedy available under applicable Saudi Arabian law and warranty conditions.

Ardenon may inspect the product and request relevant supporting information.

No cancellation fee or deduction will be imposed where such a charge would unlawfully restrict statutory remedies.

9. Delivery and Supplier Delays

Delivery estimates depend on confirmed stock, manufacturer availability, logistics, and agreed shipping arrangements.

Ardenon will notify customers of anticipated material delivery delays as required by law.

Where a delivery delay triggers cancellation rights under Article 14 of the Saudi E-Commerce Law, the customer may exercise those rights in accordance with the law, including its provisions concerning agreed delivery periods and force majeure.

10. Governing Law and Disputes

All transactions covered by this policy are governed by the applicable laws and regulations of the Kingdom of Saudi Arabia.

Disputes should initially be submitted to Ardenon for review and potential amicable settlement.

Unresolved disputes shall be referred to the competent authorities or courts in accordance with applicable Saudi law.

11. Policy Application and Amendments

Ardenon reserves the right to amend this policy from time to time.

Updated conditions apply prospectively to transactions into which they are validly incorporated and do not retrospectively alter existing contractual rights or mandatory statutory protections.

12. Contact

All cancellation, return, and refund requests must be submitted through Ardenon's official customer service channels with the relevant order number and supporting documentation.
